This document explains the terms under which Use Per Wish provides services.
These Terms & Conditions (“Terms”) form a legally binding agreement between you (the “Client”) and Use Per Wish (the “Provider”).
By purchasing, accessing, or using any Use Per Wish services (also referred to as UPW), you agree to be bound by these Terms.
These Terms become effective on the date of your first purchase or use of Services.
Updates: Provider may revise these Terms from time to time. Whenever any changes are made, advance notice of at least 30 days will be provided via email or the client portal. The most current version will always be available on our website. Continued use of Services after the effective date constitutes acceptance of the revised Terms.
Use Per Wish provides administrative, business support, content creation, digital marketing, creative tasks, and technical services, provided in accordance with your selected plan or specific instructions.
Assignment of Work: Provider may assign tasks to one or more trained Virtual Assistants (“VAs”) at its discretion. While reasonable efforts are made to maintain VA continuity, reassignment may occur due to availability, performance, or operational requirements.
Set up your account for USD 5 and receive 5 hours of trial access to UPW Services.
Trial Includes: No contract; No automatic or recurring payments; 5 hours applicable to any supported task category; Opportunity to evaluate service quality; Easy, hassle-free cancellation.
Trial Conditions: Trial hours are one-time, non-renewable, and non-transferable; Unused trial hours have no cash value; Standard service, confidentiality, and acceptable-use terms apply; Provider may limit one trial per client or business entity.
Additional Expenses: Any third-party or out-of-pocket expenses (including software, tools, advertising spend, or digital assets) required to complete tasks must be approved in advance and paid directly by the Client.
Refund Eligibility: Refund requests may be submitted within 10 days of the initial purchase. If no Services have been used, a full refund will be issued. If Services were partially used, a prorated refund or equivalent non-expiring credit will be provided.
Service Quality Concerns: If you are dissatisfied with the delivered work, you must report the issue within 7 days of delivery, detailing the concern. Provider will review the matter and may, at its discretion, offer rework or refund the affected hours.
Subscription Refunds: A refund of the current billing period may be requested within 20 days of payment, provided no work has commenced. Approved refunds are processed within 10 business days to the original payment method.
Direction & Supervision: VAs act solely under Client instructions. All decisions, approvals, and outcomes remain the responsibility of the Client.
Account Access & Security: If the Client shares login credentials, this is done at their own risk. Use of the Provider’s secure password vault is strongly recommended.
Content & Permissions: The Client represents and warrants that all materials provided (including content, images, and data) are owned or properly licensed. Provider is not responsible for intellectual property or copyright violations arising from Client instructions.
Acceptable Use: Services may not be used for illegal, fraudulent, unethical, or harmful activities. Provider may suspend or terminate Services immediately for misuse, without refund for the affected period.
Both parties may access confidential information during the course of Services. Each party agrees to:
• Keep such information confidential and secure
• Use it solely for service-related purposes
• Protect it using reasonable safeguards
• Return or destroy confidential materials upon request or termination
Confidentiality obligations survive termination and do not apply to information that is publicly available or lawfully obtained from another source.
Upon full payment, the Client owns all work product created specifically for the Client under these Services.
Provider retains ownership of pre-existing tools, templates, systems, processes, and general know-how.
The Client grants Provider a limited license to use Client materials solely to perform the Services.
During the term of Services and for 12 months thereafter, the Client shall not directly or indirectly solicit, hire, or engage any Provider staff or VA introduced through the Services outside Provider’s platform.
Penalty: A breach will result in liquidated damages of USD 7,500 per individual, representing a reasonable estimate of recruitment and replacement costs and not a penalty.
You agree to indemnify, defend, and hold harmless Use Per Wish, its affiliates, employees, and Virtual Assistants from and against any claims, liabilities, losses, damages, costs, or expenses arising out of or related to:
1. Your instructions, directions, or approvals;
2. Your misuse of the Services; or
3. Any content, materials, or data you provide.
Regulated Advice Disclaimer: You expressly acknowledge that Use Per Wish and its Virtual Assistants do not provide legal, financial, tax, or other regulated professional advice. All Services are performed strictly on the basis of your instructions.
You further agree that neither Use Per Wish nor its Virtual Assistants act in an advisory, consultative, fiduciary, or representative capacity, and you waive any claim to the contrary to the fullest extent permitted by law.
The Client may cancel Services at any time before the next billing date via the portal or support.
The Provider reserves the right to immediately suspend or terminate Services, without prior notice, if the Client requests or engages in any illegal activity, abusive conduct, or misuse of the Services. Upon termination, all access will be revoked.
Services are provided “as is”, except as expressly stated. To the maximum extent permitted by law:
• Provider’s total liability is limited to fees paid in the preceding 12 months.
• Neither party is liable for indirect, incidental, consequential, or punitive damages.
• Neither party is responsible for delays or failures caused by events beyond reasonable control.
Provider operates as an independent contractor. Nothing in these Terms creates an employer-employee, partnership, agency, or joint venture relationship.
Provider processes personal data in accordance with applicable laws and its Privacy Policy. Where applicable, GDPR requirements are observed for EU/EEA data.
These Terms are governed by the laws of West Bengal, India. All disputes shall be subject to the exclusive jurisdiction of the courts of Kolkata, West Bengal.
All notices must be in writing and delivered via email (with confirmation), registered mail, or courier to the addresses on record.
These Terms constitute the entire agreement between the parties. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
By using Use Per Wish Services, you confirm that you have read, understood, and agreed to these Terms.
You may cancel your subscription or discontinue use of the services at any time. You are not bound by any long-term contract, and no cancellation fees or penalties will apply, provided cancellation is made in accordance with the billing terms.
